Welcome to Riots AI, a real estate investment analytics platform operated by a Delaware C-Corp with its principal office in California (the "Company," "we," or "us"). These Terms and Conditions ("Terms") govern your access to and use of our website, applications, and services (collectively, the "Service"). By accessing or using the Service, you agree to be bound by these Terms and our Privacy Policy (which describes how we handle your data). If you do not agree, you must not use the Service. These Terms apply to all users of the Service, including individuals browsing free listings and subscribers accessing paid features.
Eligibility: You must be at least 18 years old (or the age of majority in your jurisdiction) to create an account or use the Service. By using our Service, you represent that you have the legal capacity to enter into this agreement. If you are using the Service on behalf of a company or other entity (for example, as a real estate agency or investment firm), you represent that you have authority to bind that entity to these Terms, and "you" will refer to both you as an individual and that entity.
Account Registration: Some features require creating an account. You agree to provide accurate, current, and complete information during registration and to keep your account information updated. You are responsible for maintaining the confidentiality of your account login credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized access or use of your account. We are not liable for any loss or damage arising from your failure to safeguard your credentials.
Account Use: Each account is meant for a single user or a designated team (if you have a team subscription). You may not share your login credentials with unrelated third parties or otherwise allow unauthorized users to access the Service through your account. If you have a business or team account, access is limited to your organization's authorized personnel. We reserve the right to suspend or terminate any account we suspect is being used in violation of these Terms or for unauthorized purposes.
By using the Service, you agree to use it only for its intended purposes and in compliance with all applicable laws and regulations. You must not:
• Violate the Law or Rights of Others: Use the Service for any unlawful, fraudulent, or malicious purpose, or to harass, abuse, or harm another person. You agree not to use the Service in any manner that infringes or violates the rights of anyone else (including intellectual property, privacy, or other rights).
• Misuse the Content: Reproduce, distribute, scrape, screen-scrape, or harvest data from the Service, or create any derivative works from our content, except as expressly permitted by us. This means you cannot data-mine our property listings or analytics to create your own database or competing service, and you may not display or distribute any content from the Service outside of its intended use.
• Circumvent Restrictions: Bypass or circumvent any technical measures we use to restrict access to the Service (such as attempting to evade paywalls or use the Service without authorization). You will not attempt to gain unauthorized access to any portion of the Service, or to any servers or networks used by the Service, by hacking, password "mining" or any other illegitimate means.
• Interfere with the Service: Upload or transmit any viruses, malware, or other code that could harm the Service or our systems. You may not interfere with or disrupt the integrity or performance of the Service, including by imposing an unreasonable load on our infrastructure or launching denial-of-service attacks.
• Impersonation and False Information: Impersonate any person or entity, or misrepresent your affiliation with any person or entity. You must not create accounts using false identities or information, or on behalf of someone else without their permission.
• Prohibited Content: Post or transmit any content that is unlawful, discriminatory, offensive, or otherwise objectionable. In the context of real estate, you agree not to use the Service in any way that violates fair housing laws or other anti-discrimination laws (for example, you will not use the Service to discriminate against protected classes in housing opportunities).
• Commercial Solicitation: Use the Service or information from it to advertise or solicit users for any product or service outside of your personal or internal business investment purposes. (For example, you should not harvest contact information from property listings to send unsolicited marketing communications.)
• Reverse Engineering: Decompile, disassemble, or reverse engineer any part of the Service, or attempt to derive the source code or underlying algorithms except as allowed by law.
• No Resale or Misuse of Data: Sell, resell, or otherwise commercially exploit the Service or any data or output from the Service, unless you have a separate written agreement with us permitting such activities. The Service (including MLS listings and analytics) is provided for your personal and internal business use in evaluating real estate opportunities, and you agree not to redistribute or republish our data except as necessary for your own investment decisions or client services.
• Fair-Housing Compliance: You agree not to use the Service in any manner that violates federal, state, or local fair-housing or anti-discrimination laws.
• No Automated Scraping: You must not use robots, spiders, or other automated means to harvest data from the Service.
We reserve the right to investigate and take appropriate action (including account termination and legal action) against any misuse of the Service.
Free and Paid Tiers: We offer a free tier of the Service that allows users to browse property listings and access limited investment analytics (including limited interactions with our AI tools). We also offer paid subscription plans ("Paid Plans") that provide full access to advanced features. Details of the current plans and their features are provided on our website.
Subscription Fees: If you subscribe to a Paid Plan, you agree to pay the subscription fees and any applicable taxes on a recurring basis. Subscription fees are billed monthly (unless otherwise stated for a particular plan) and will be charged to the payment method you provide.
Auto-Renewal: By enrolling in a Paid Plan, you authorize us to automatically charge the applicable subscription fee to your payment method at the beginning of each billing cycle until you cancel. For example, if your plan is monthly, we will charge your card each month on a recurring basis.
Payment and Billing: You must provide current, valid payment information. If we cannot charge your payment method (for example, due to expiration or insufficient funds) we may suspend or restrict your access to paid features until you update your payment information. You are responsible for any charges incurred (including any applicable foreign transaction fees if you use a payment method issued outside the U.S.). We may change the subscription fee for our Service; if we do, we will give you at least 30 days' notice via the Service or email. Your continued use of the Paid Plan after a fee change constitutes your agreement to pay the new amount.
No Refunds: Subscription charges are non-refundable, except where required by law. This means that if you cancel in the middle of a billing period, we will not refund any prorated amounts for the remainder of that period. Likewise, if you downgrade your plan, the change will take effect at the start of the next billing cycle unless stated otherwise. We provide a free tier and/or free trial (when offered) so you can evaluate the Service before subscribing; once you are subscribed, the fees will accrue until you cancel.
Cancellation: You can cancel your subscription at any time through your account settings or by contacting customer support. If you cancel, you will continue to have access to your Paid Plan features until the end of the current billing period, after which your account will revert to the free tier (or be closed, if you choose). To avoid being charged for the next period, you must cancel before the renewal date.
Order, Taxes, and Changes: All fees are listed and charged in U.S. Dollars, unless otherwise indicated. You are responsible for any sales, use, value-added, or other taxes or duties assessed on your subscription (excluding taxes on our income). We reserve the right to offer special promotional plans, trial memberships, or adjust our offerings; any such changes will be communicated and are subject to these Terms.
Our Service integrates data and services from third parties to provide you with a rich experience. This includes:
• MLS Property Listings: Property listing information (including home details, descriptions, photos, prices, etc.) may be provided by third-party sources such as Multiple Listing Services (MLS) and other real estate data providers.
• Personal Use / No Redistribution: Listing data is provided solely for your personal, non-commercial use in evaluating potential real estate transactions. You must not copy, scrape, reproduce, distribute, display, or create derivative works from any listing data except as necessary to identify or evaluate a property you may purchase or sell.
• MLS Ownership & Copyright: All listing data remains the intellectual-property of the supplying MLS(s) and the respective listing broker(s). You acknowledge those ownership rights and agree that none of those rights are transferred to you.
• IDX Disclaimers: Information is deemed reliable but is not guaranteed and should be independently verified. Neither the MLS, nor the Company warrants the accuracy or completeness of listing information.
• Use of Listings: This information is intended for your personal and internal business use to evaluate real estate opportunities. You agree not to copy, aggregate, display, or distribute MLS listings data outside of the Service except as needed for your own purchase or sale decisions (for example, discussing a listing with your real estate agent or clients). You acknowledge that the listing data is owned by the source (e.g., the MLS) and is protected by copyright. Always verify important details independently (such as property condition, status, and price) before making any investment decision. We make no guarantee as to the accuracy, timeliness, or completeness of any MLS or third-party property data.
• Required Attribution: Listing data is provided by multiple MLS organizations and is © the respective MLS boards. All rights reserved.
• Mapping Services: We use mapping platforms to display property locations and geographic data. For example, our interactive maps utilize OpenStreetMap data (© OpenStreetMap contributors) via the Leaflet library, and we may incorporate imagery or other map data from third-party providers. Map data and visuals are provided for general reference only; they may not perfectly reflect current conditions, precise boundaries, or locations. Use of the maps on our Service is subject to the terms of use of the map providers. OpenStreetMap data is made available under the Open Database License (ODbL). Map tiles incorporate © OpenStreetMap contributors and are licensed under the Open Database License (ODbL).
• Address Autocomplete (Google Places API): Our address search and auto-fill features are powered by Google Maps Places API for convenience in finding addresses. By using the address lookup/autocomplete function, you are also agreeing to abide by Google's applicable terms of service and privacy policy for those features. We do not store every detail returned by the Google Places API, but any data we do store or display is used in accordance with our Privacy Policy. Google and its licensors are third-party beneficiaries to this section if applicable. The UI displays "Powered by Google" as required by Google Maps Platform policies.
• Other Third-Party Tools: The Service may incorporate or link to other third-party services or libraries (such as charting libraries, payment processors, or analytics tools). Use of those features may be subject to additional terms from those providers. We are not responsible for services provided by third parties, and inclusion of these services does not imply an endorsement. When you access third-party content or services through our Service, you do so at your own risk; we make no warranties or representations about third-party information.
We strive to use reputable third-party sources, but we cannot guarantee their services' availability or accuracy at all times. Third-party data or services may be discontinued or changed without notice to us. You agree that the Company is not liable for any errors, omissions, or interruptions in third-party services or information. Any third-party trademarks or logos that appear in our Service (such as Google's) are the property of their respective owners.
Our Content: The Service (including all content and materials on our website and app) is owned by the Company or its licensors and is protected by intellectual property laws. This includes all text, data compilations, software, code, algorithms, images, graphics, logos, design, and arrangement of the Service, as well as our databases of listings and analytical data. We grant you a limited, revocable, non-exclusive, non-transferable license to access and use the Service and our content for the permitted purposes described in these Terms. Except as expressly allowed by these Terms or by law, you may not copy, modify, distribute, perform, display, or create derivative works based on our content. All rights not expressly granted to you are reserved by us and our licensors.
Trademarks: The Company's name, logo, and any product or service names or slogans on the Service are our trademarks. Other names or logos may be trademarks of third parties (for example, MLS names or other companies mentioned). You are not granted any license to use any trademarks displayed on the Service. Unauthorized use of our trademarks is prohibited.
User Content. You retain ownership of any content, data, or materials that you upload, generate, or save in the Service ("User Content"). By submitting User Content, you grant the Company a worldwide, perpetual, irrevocable, royalty-free, sublicensable, and transferable license to:
• host, store, back-up, and display your User Content in the Service and in any related marketing you initiate (for example, when you share an investment analysis link);
• use, reproduce, modify, and create derivative works from User Content in order to operate, maintain, improve, or market the Service; and
• aggregate, anonymize, analyze, and otherwise utilize the numerical assumptions, metrics, or other non-identifying elements of User Content for any purpose, including (without limitation) statistical reporting, product development, model-training, benchmarking, or commercial analytics, provided that such use does not disclose your identity or any confidential information in a manner that could reasonably identify you.
You acknowledge that (i) the license above survives termination of this Agreement, and (ii) no compensation is owed to you for any such use. You further represent and warrant that you have all rights necessary to grant this license and that your User Content does not infringe any law or third-party right.
Confidential or sensitive data: Do not upload data that is subject to a confidentiality obligation, MLS display restriction, or special-category privacy law unless you have the legal right to grant the license above. Any personal information you submit will be handled in accordance with our Privacy Policy.
Feedback: If you choose to provide suggestions, ideas, or other feedback to us about the Service ("Feedback"), you agree that we have an unrestricted right to use and incorporate that Feedback without compensation or attribution to you. This helps us improve our platform for everyone. We may remove or disable any User Content that, in our judgment, violates these Terms, applicable law, or MLS/IDX rules.
The Service integrates an AI language model supplied by OpenAI that generates automated narratives, projections, and answers ("AI Content"). AI Content is experimental and provided for informational purposes only; it may be inaccurate, incomplete, or misleading. AI Content is not financial, investment, tax, legal, or real estate advice, and must not be relied upon as such. You are solely responsible for verifying any AI Content before acting on it, and you should consult qualified professional advisers where appropriate.
• No Professional Advice: We are not registered investment advisers or real estate brokers, and AI Content does not create any advisory or brokerage relationship.
• Projections Are Estimates Only: All ROI forecasts, rent estimates, and similar metrics generated by the AI are hypothetical and based on assumptions that may change. Actual results may differ materially.
• User Responsibility: You agree to input only data you have the right to share and to exclude sensitive personal data. You remain responsible for all investment decisions and any loss that may result.
• OpenAI Processing: To generate responses, we transmit to OpenAI only the data needed for that interaction—your prompt, any property details you include, and (solely for personalization) the first name you supplied at signup. We do not share your surname, email, phone number, or other contact identifiers. OpenAI processes this data exclusively to return the requested output and under its own API terms of service.
By using the AI-assisted analysis, you acknowledge these conditions. We provide this feature to enhance user experience, but it remains your responsibility to interpret and validate the results.
The tools and information provided by our Service (including property financial metrics, projections of income or expenses, estimated values, and AI-generated analyses) are meant to assist you in evaluating real estate investments. However, all projections and analyses are for informational purposes only and come with inherent uncertainties.
No Guarantee of Results: Any performance figures, cash flow forecasts, return on investment (ROI) calculations, rental estimates, or other financial projections shown on our platform are hypothetical estimates. They are based on various assumptions, models, and data inputs, and are not actual results. For example, if we show that a property could yield a certain rental income or appreciation over time, this is an estimate based on factors like neighborhood data and historical trends, not a promise or guarantee. No representation is made that actual performance will match our projections or that any property will achieve any specific outcome.
Assumptions: Many factors go into our analyses (including market rent estimates, vacancy rates, financing terms, expense ratios, etc.). Different assumptions or unexpected market conditions can lead to drastically different outcomes. Users should examine and understand the assumptions behind any projection on the Service. You have the ability to adjust many of these variables; the results are only as reliable as the data and assumptions used. We may provide default or AI-suggested assumptions, but those are not tailored to your personal situation and may not reflect reality.
Not Financial or Investment Advice: The Service is not providing personalized financial advice. We are not registered investment advisors, broker-dealers, or real estate brokers (and use of our Service does not create any client relationship with a broker or investment advisor). All information and content provided by the Service, whether via data, analysis tools, or the AI assistant, is general in nature and for you to use as one input among many in making an investment decision. It does not constitute financial, legal, or tax advice. You should consult with licensed professionals (such as real estate agents, attorneys, or financial planners) before relying on any information to purchase or invest in property.
Risk of Investment: Any investment in real estate carries risk. Property values can decline, rents can fluctuate, expenses can be higher than expected, and economic or regulatory changes can negatively impact your investment. You may lose money on real estate investments, including potentially losing your entire principal. Nothing on our Service should be interpreted as a promise of profit or protection against loss. You are solely responsible for any investment decisions you make using the Service, and you assume all risks associated with those decisions.
Independent Verification: All information on our platform should be independently verified. This includes verifying property details, market statistics, and financial figures. Do not rely solely on the Service for critical decisions. For example, before purchasing a property, you should conduct on-site inspections, review official documents, and possibly get professional appraisals or inspections. Any reliance you place on information from our Service is strictly at your own risk.
No Client-Broker Relationship: Although we display real estate listings and analysis, the Company is not acting as your real estate agent or broker. Using our Service does not obligate you to work with any particular real estate agent, and it does not create an agency relationship with us. Any purchase or sale of actual real estate will likely involve third-party professionals (e.g., licensed real estate brokers/agents, escrow companies, lenders), and those transactions will be governed by separate agreements and legal obligations outside the scope of these Terms.
Risk of Loss: Investing in real estate is speculative and involves significant risk, including loss of principal; past performance does not guarantee future results. You agree that neither the Company nor any third-party data provider will be liable for your investment losses or failure to achieve projected returns.
We include these disclaimers to ensure you understand the limitations of our Service. Always conduct your own due diligence and use professional judgment when evaluating investments.
Your use of the Service is at your sole risk. The Service, including all content, data, tools, and features (including the AI feature), is provided "AS IS" and "AS AVAILABLE" without warranty of any kind. The Company and its affiliates, licensors, and data providers expressly disclaim all warranties, whether express or implied, including but not limited to implied warranties of title, merchantability, fitness for a particular purpose, accuracy, and non-infringement.
For example, we do not warrant that:
• The Service will be uninterrupted, error-free, or secure at all times, or that any defects will be corrected.
• The data or content (including property listings, analytics, or AI outputs) will be accurate, reliable, or up-to-date. While we attempt to provide useful information, errors or omissions may occur, and information may be out of date. We do not guarantee the accuracy or completeness of any information available through the Service.
• The results of using the Service will meet your expectations or requirements. (For instance, we do not warrant that using our analysis will lead to successful investments or any particular outcome.)
• Any content or files downloaded from the Service will be free of viruses or contamination.
Third-Party Materials: We make no warranties regarding information or services provided by third parties, even if obtained through our Service. This includes the accuracy of MLS listings, third-party maps, or AI services. Such information is provided for convenience and reference, "as is" without warranty, as stated by those sources (e.g., MLS providers often note data is not guaranteed for accuracy).
Because some jurisdictions do not allow the exclusion of certain warranties, some of the above exclusions may not apply to you. In such jurisdictions, our warranties are limited to the greatest extent permitted by law.
To the fullest extent permitted by law, in no event will the Company or its directors, officers, employees, agents, partners, suppliers, or content providers be liable for any indirect, consequential, incidental, special, exemplary, or punitive damages arising out of or in connection with your use of (or inability to use) the Service. This includes, without limitation, any loss of profits, loss of data, investment losses, business interruption, or other commercial or financial losses, even if we have been advised of the possibility of such damages. We will not be liable for any damage or harm resulting from hacking, tampering, or other unauthorized access or use of the Service or your account or the information contained therein.
In addition, the Company shall not be liable for any errors, inaccuracies, or omissions in any content or data provided, or for any decision made or action taken by you in reliance on the Service. You are solely responsible for the outcomes of your investment decisions.
Cap on Liability: To the extent any liability is not legally excludable, the total cumulative liability of the Company to you for all claims arising out of or relating to these Terms or your use of the Service will not exceed the amount (if any) that you paid to the Company for access to the Service in the twelve (12) months immediately preceding the event giving rise to the liability, or one hundred U.S. dollars (USD $100), whichever is greater. If you have not paid any subscription fees, the Company's total liability to you for any claim shall not exceed $100.
Exceptions: Nothing in these Terms is intended to exclude or limit liability that cannot be excluded under applicable law – for example, for our willful misconduct or for personal injury caused by our gross negligence. However, to the extent allowed, we exclude all such damages and limit our liability as described above.
Because some jurisdictions do not allow the exclusion or limitation of liability for consequential or incidental damages, the above limitations may not apply to you. In such jurisdictions, our liability is limited to the maximum extent permitted by law.
You agree to defend, indemnify, and hold harmless the Company, its parent, affiliates, and their respective officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees and costs) arising out of or in any way connected with: (a) your access to or use of the Service (including any content you submit or actions you take through the Service), (b) your violation of these Terms, any law, or any third-party rights, or (c) any dispute between you and a third party (for example, a dispute with a real estate seller or buyer or another user) relating to your use of the Service. This indemnity covers, for example, any claim alleging facts that, if true, would constitute your breach of these Terms.
We reserve the right, at our own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you (in which case you agree to cooperate with our defense of such claim). This indemnity obligation will survive any termination of your account or of the Service.
By the Company: We may suspend or terminate your account or your access to all or part of the Service at any time, with or without cause, with or without notice, effective immediately. For example, we may terminate or suspend your use if we believe you are violating these Terms, creating risk or possible legal exposure for us, or if you fail to pay any fees owed. We may also terminate the Service (in whole or in part) or cease supporting it at any time. If your account is terminated for breach of these Terms or unlawful conduct, you will not be entitled to any refund of fees paid. If we terminate your subscription without cause (for example, if we decide to discontinue the Service entirely), we may provide a pro-rata refund for any prepaid period that you can no longer use.
By You: You may cancel your account or subscription at any time if you no longer wish to use our Service. See "Subscription Plans and Payments – Cancellation" above for information on what happens when you cancel a paid subscription. If you simply wish to stop using the free Service, you may delete your account or stop using the platform.
Effect of Termination: Upon any termination of this agreement, whether by you or us, your right to access and use the Service will immediately cease. You should export or save any data that you have stored on the Service prior to termination (to the extent allowed by our tools), as we may delete your account data after termination, subject to applicable law and our data retention policies. We are not liable to you or any third party for termination of your access to the Service or deletion of your User Content, provided we are in compliance with these Terms and our Privacy Policy.
Even after termination, the following sections of these Terms will remain in effect: any provisions regarding ownership of intellectual property, disclaimers of warranties, limitation of liability, indemnification, and any other clauses that by their nature should survive termination.
Changes to the Service: The Company reserves the right to modify, suspend, or discontinue any part of the Service at any time, including adding or removing features, data sources, or content. We may do so with or without notice to you. For example, we may update the analytics tools, change the AI provider, or alter the range of listings available. We are not liable to you or any third party for any modification, suspension, or discontinuation of the Service. If you are on a Paid Plan and a change materially reduces the core functionality of the Service, you may be entitled to cancel and receive a prorated refund (at our discretion).
Changes to Terms: We may revise these Terms from time to time. If we make a material change, we will notify you by posting the updated Terms on our website and updating the "Last Updated" date at the top, or by email or in-service notification. It is your responsibility to review the Terms periodically. Your continued use of the Service after updated Terms are posted or provided to you signifies your agreement to the changes. If you do not agree to the revised Terms, you should stop using the Service and, if applicable, cancel your subscription.
We also may update other policies or guidelines that govern the Service from time to time (such as our Privacy Policy or any community guidelines) – those may be notified in a similar manner.
Governing Law: These Terms and any dispute arising out of or related to the Service are governed by and construed in accordance with the laws of the State of California and applicable U.S. federal law, without regard to its conflict of law principles. If you reside or use the Service outside of the United States, you understand and agree that U.S. laws will apply to your use of the Service.
Jurisdiction and Venue: Subject to the arbitration provision (if applicable) below, you and Riots AI, Inc. (the "Company") agree that any judicial proceeding to resolve claims arising out of or relating to these Terms or the Service will be brought exclusively in the state or federal courts located in the State of California, County of San Francisco. You and the Company consent to personal jurisdiction and venue in those courts and waive any objection based on inconvenient forum. Notwithstanding the foregoing, the Company may seek injunctive or other equitable relief in any jurisdiction as necessary to protect its intellectual property or confidential information.
Arbitration and Class Action Waiver (If not prohibited by law): At the Company's option, and to the extent permitted by law, any dispute, claim, or controversy arising out of or relating to these Terms or your use of the Service that cannot be resolved informally will be resolved by binding arbitration on an individual basis. Arbitration is a process where disputes are decided by a neutral arbitrator instead of a judge or jury. By agreeing to these Terms, you and the Company each waive the right to a trial by jury and the right to participate in a class action.
• Any arbitration will be administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules. You can find more information about AAA and its rules on the AAA website.
• The arbitration will take place in California, or another mutually agreed location. If your claim is for a small amount (for example, under a certain threshold), you may choose to have the arbitration conducted by telephone or based on written submissions.
• The arbitrator may award any relief that a court of competent jurisdiction could award, including individual injunctive relief, and the arbitrator's decision may be entered as a judgment in any court with jurisdiction.
• No Class Arbitrations: You and the Company agree that each may bring claims against the other only in your or its individual capacity, and not as a plaintiff or class member in any purported class or representative proceeding. The arbitrator shall not have the authority to combine or aggregate similar claims or conduct any class or representative proceeding, nor to make an award to any person or entity not a party to the arbitration.
• Exceptions: Notwithstanding the foregoing, either party may bring suit in small claims court for individual disputes that qualify. Also, if the prohibition against class arbitration is deemed invalid or unenforceable, then the entirety of this arbitration provision shall be null and void, and in that case you and the Company agree that disputes will be resolved exclusively in the state or federal courts in California.

Your notice must be postmarked within thirty (30) days of the date you first accept these Terms. If you timely opt out-or if this section is found inapplicable-any resulting judicial proceeding will be resolved exclusively in the courts specified in the "Jurisdiction and Venue" section above.
